These Terms of Service (“Terms”) govern your access to and use of the Apep Biolabs website, online store, products, content, and related services (collectively, the “Services”). By accessing the Services, creating an account, placing an order, or otherwise using the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services or purchase products from Apep Biolabs.

2. Research-Use Products

Apep Biolabs offers materials represented for lawful laboratory, analytical, and research purposes.

Products are not intended for human or veterinary use, consumption, administration, diagnosis, treatment, cure, mitigation, or prevention of disease unless Apep Biolabs expressly states otherwise in writing and such use is lawful.

By purchasing a research-use product, you represent that you are acquiring it solely for a lawful research or analytical purpose and that you will not use, direct, promote, or facilitate use of the product in a manner inconsistent with these Terms or applicable law.

Nothing in these Terms, on the website, or in any customer acknowledgment changes Apep Biolabs’ obligations under applicable law or makes an otherwise unlawful transaction lawful.

3. No Medical Advice

Information provided through the Services is for general informational, product-identification, and research-related purposes only.

It is not medical advice, veterinary advice, diagnosis, treatment guidance, dosing guidance, or a substitute for advice from a licensed healthcare professional.

4. Product Information and Quality Statements

We strive to present product descriptions, specifications, images, batch information, and testing information accurately.

Product appearance, packaging, and documentation may vary by batch.

Any statement regarding purity, identity, testing, or specifications applies only to the batch or documentation specifically identified and should not be interpreted as a representation concerning a different batch unless expressly stated.

Apep Biolabs does not represent that its research-use products are FDA-approved drug products or approved for human or veterinary administration.

5. Prohibited Uses

You may not use the Services or products to:

• Violate any applicable law or regulation.

• Infringe the rights of another person or entity.

• Engage in fraud, deception, or misrepresentation.

• Interfere with the security or operation of the Services.

• Use research-use products for prohibited human or veterinary purposes.

Apep Biolabs may refuse, cancel, limit, or hold an order when we reasonably believe an order may violate these Terms, applicable law, payment-provider requirements, carrier requirements, or platform policies.

6. Orders, Pricing, and Availability

All orders are subject to acceptance and availability.

We may correct pricing, inventory, product-description, or typographical errors before shipment.

We may cancel or limit quantities when necessary, including when we suspect fraud, prohibited use, or activity inconsistent with our policies.

Prices may change without notice. Applicable taxes, shipping charges, and other disclosed fees may be added at checkout.

7. Payment

You agree to provide accurate, current, and complete billing information and to use only payment methods you are authorized to use.

Submission of an order does not guarantee acceptance. An order is accepted only after Apep Biolabs confirms and processes it.

8. Shipping and Delivery

Shipping timelines are estimates unless expressly stated otherwise.

Delays may occur because of carriers, weather, address issues, regulatory restrictions, or circumstances outside our reasonable control.

9. Returns and Refunds

Returns, replacements, cancellations, and refunds are governed by our Refund Policy, which is incorporated into these Terms.

Nothing in these Terms limits any non-waivable consumer right that applies under law.

10. Intellectual Property

The Apep Biolabs name, branding, logos, graphics, product photography, website design, written content, and other original materials are owned by or licensed to Apep Biolabs.

They may not be copied, reproduced, distributed, modified, or commercially used without prior written permission, except as permitted by law.

11. Third-Party Services and Links

The Services may rely on or link to third-party platforms, payment processors, shipping carriers, laboratories, social-media services, or other providers.

Apep Biolabs is not responsible for third-party websites, services, policies, or outages, except to the extent required by law.

12. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services and products are provided on an “as available” basis, subject to the express descriptions and written warranties, if any, provided by Apep Biolabs.

We do not make warranties that are not expressly stated in writing.

This section does not exclude warranties or rights that cannot lawfully be excluded.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Apep Biolabs and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the Services or products.

Any limitation applies only to the extent enforceable under applicable law and does not limit liability that cannot legally be limited.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Apep Biolabs from third-party claims, losses, liabilities, and reasonable expenses arising from:

• Your unlawful use of the Services or products.

• Your material breach of these Terms.

• Your violation of another person's rights.

This provision does not apply to claims caused by Apep Biolabs’ own unlawful conduct to the extent such liability cannot lawfully be shifted.

15. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules, except where federal law or another jurisdiction’s mandatory consumer-protection law applies.

16. Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, the Services, or applicable requirements.

The revised version will be posted with an updated effective date.

Continued use of the Services after an update constitutes acceptance to the extent permitted by law.
